1. What Rights You Grant Us

You grant ASMRstream the exclusive right to distribute the audio extracted from your eligible ASMR YouTube videos to all major digital streaming platforms (DSPs) like Spotify, Apple Music, Amazon Music, etc., worldwide.

• Duration: This exclusivity applies to each specific audio track for 10 years from its first release date. However, as explained in Section 5 (Ending the Agreement), you are not locked in for this entire period and can terminate the agreement much sooner if needed.
• Why Exclusive? Exclusivity allows platforms to recognize the audio as an official release managed by ASMRstream. This helps secure better marketing opportunities, ensures consistent royalty collection, and prevents confusing duplicate uploads.

2. How Royalties Work

We believe in a fair partnership. Here's how streaming royalties are typically split:

• Your Share: You receive 80% of the net royalties collected from streaming platforms for your audio tracks.
• Our Fee: ASMRstream retains 20% as our distribution fee, covering our operational costs, platform integrations, support, and reporting services.
• Flexibility: In certain situations, such as for channels with exceptionally large reach or during specific promotional campaigns, we may propose an alternative royalty split (e.g., 85/15 or 75/25). We will always communicate clearly and discuss any potential adjustments with you beforehand. Any changes to the standard split will only occur with your explicit agreement, documented in writing.

3. Reporting & Payments

We provide clear and timely reporting on your earnings:

• Monthly Email Reports: For each month your releases generate streams, we will email you a detailed report showing streams, earnings per platform, and total revenue generated once the data is available from the streaming services.
• Payout Timing: Streaming platforms typically report earnings and pay distributors 30-90 days *after* the streams occur. As soon as platforms report earnings to us, we process this information and include it in your next report and payout cycle. This industry-standard delay means your first payout from ASMRstream will usually arrive 2-6 months after your first release goes live, simply because we must wait for the platforms' initial reports. We process your share promptly upon receiving the data. Payouts become more regular after these initial cycles.
• Payment Threshold: We process payouts via Stripe once your accumulated earnings reach a minimum threshold of USD $3.00. If your balance is below this, it will roll over to the next payment cycle.

4. Exclusivity & Other Distributors

While a specific audio track is under our 10-year exclusive distribution term, you agree not to use another service to distribute the *exact same audio recording* to the same platforms. This prevents conflicts, ensures accurate royalty tracking, and maintains the integrity of your official release. You are, of course, free to use other distributors for different recordings or content not covered by our agreement.

5. Ending the Agreement

We believe in flexibility. Either you or ASMRstream can terminate the overall distribution agreement with 30 days' written notice. Notice can be given by contacting our support team.

What happens to your releases upon termination? You have two options:

• Option 1: Keep Releases Live & Continue Earning: You can choose to leave your existing releases distributed through ASMRstream for the remainder of their original 10-year exclusivity term. We will continue to collect royalties, report earnings, and pay you your share according to the agreement, even after the main partnership ends.
• Option 2: Takedown All Releases: Alternatively, you can request that we remove all your audio tracks distributed by us from all streaming platforms. We will initiate these takedown requests within 30 days following the end of the termination notice period. (Note: Actual removal time can vary by platform).

Final Payout: Regardless of the option chosen, you will receive all royalties earned up to the point of termination (or up to the point of takedown if you choose Option 2), paid out according to the regular payment schedule and threshold.

Track Exclusivity Post-Termination: If you choose Option 1, the 10-year exclusivity for each released track naturally continues. If you choose Option 2, the exclusivity for those tracks ends once they are taken down.

6. Ownership & Legal Warranties

• You Own Your Content: You retain 100% ownership of your original YouTube videos and the underlying creative content (your voice, performance, ideas). We only gain rights to distribute the *audio* derived from those videos.
• Your Confirmation (Warranty): By agreeing to the contract, you confirm (warrant) that you have all necessary rights and permissions for the audio content you provide for distribution, and that it does not infringe on any third-party copyrights, trademarks, or other rights (e.g., background music licenses).
• Responsibility (Indemnity): If any legal claims arise specifically related to the content you provided (e.g., a copyright claim over uncleared background music), you agree to be responsible for handling those claims and any associated costs. This is standard practice in distribution agreements.

7. Helping Us Promote Your Audio

Maximizing your streams is a team effort! To help your audio releases succeed, we ask that you actively promote them:

• Include the provided streaming links (Spotify, Apple Music, etc.) in the descriptions of your corresponding YouTube videos.
• Share your releases on your social media channels (Linktree, Instagram, Twitter, TikTok, etc.) when they launch.

We make this easy by providing you with shareable links for each live release in your dashboard.

8. Electronic Acceptance

When you click the "I AGREE" (or similar) button during the signup process after reviewing the full Distribution Agreement, you are legally binding yourself to its terms. This electronic signature is as valid as a handwritten one.

We securely record the timestamp, your IP address, and the specific version of the agreement you accepted for verification purposes.

Once you accept the agreement, we will email you a copy of the full contract you signed, along with the date and time of your acceptance, for your records.
